Introduction

Beyond Lithium Inc. is the largest greenfield lithium exploration player in Ontario with 64 high-potential greenfield lithium properties totalling over 150,000 hectares. PROJECTS IN ONTARIO

Beyond Lithium recently became the largest greenfield lithium exploration player in Ontario by optioning 57 high-potential greenfield lithium properties totalling 125,751 hectares and acquiring through staking three properties totalling 9,104 hectares, bringing its total lithium property portfolio in Ontario to 64 properties totalling over 150,000 hectares.

Beyond Lithium has expanded the McKenzie Bay, Wapesi Lake and Wapesi North properties by low-cost map staking. The properties are now connected to form one contiguous property covering 14,163 hectares, Beyond Lithium is now the largest player in the Wapesi Lake area. (See news release dated April 18, 2023)

In less than a month, Beyond Lithium has assembled the largest greenfield lithium exploration in Ontario, recruited a VP Exploration (Mr. Lawrence Tsang), and entered into services agreements with two of the leading prospecting companies (Bounty Gold Corp. and Last Resort Resources Ltd.) in grassroots lithium exploration in the province of Ontario. The up to $2 million financing announced on April 27, 2023 gives Beyond Lithium the necessary funding to conduct a robust and comprehensive exploration program which is expected to start in May.

Allan Frame, President and CEO of Beyond Lithium, “Initially our focus will be to conduct a “first pass” grassroots prospecting exploration program on each property. This phase of exploration will involve conducting traverses to identify and document the characteristics of all exposed pegmatites encountered and collect samples for geochemical analysis. This will lead to a second phase of prospecting that will be more focused on those areas showing the highest potential for discovery and will include activities intended to identify and de-risk diamond drill targets later this summer.” (See news release dated April 27, 2023)

Management and Directors

Allan Frame, President and Chief Executive Officer

Mr. Frame has extensive experience in the financial industry. He spent 47 years in the financial services industry with various Canadian Investment dealers. He retired in May of 2022. During his career he has successfully underwritten or participated in raising several hundred millions of dollars for junior resource companies, primarily in the mining sector. Mr. Frame also acts as director of business development for DLP Resources Inc. and Prismo Metals.

Lawrence Tsang, P.Geo., Vice-President of Exploration

Mr. Tsang currently serves as the senior geologist of Ascot Resources Ltd. and the technical adviser and a co-founder of Tailwinds Exploration Corp. Mr. Tsang has more than 15 years of experience in the mining and metals industries in North America and has administered numerous grassroots and advanced projects for both private and public companies.

Carmelo Marrelli, B. Comm, CPA, CA, CGA, Chief Financial Officer

Mr. Marrelli is the principal of the Marrelli Group. He acts as the chief financial officer to several issuers on the TSX, TSX Venture Exchange, the NEO Exchange and CSE, as well as non-listed companies, and as a director of select issuers.

Tom Provost, B.A., LL.B./B.C.L., Corporate Secretary and Director

Mr. Provost is a lawyer at MLT Aikins LLP in Winnipeg, Manitoba. He is the Corporate Secretary of Vision Lithium Inc. and is a member of the Manitoba Prospectors and Developers Association Inc.

Ms. DeCecco is the Vice President & COO of Lithium Chile Inc. and a Director of Monumental Minerals Inc. She has over 20 years of experience in the public mining sector.

News Update

On April 01, 2024, Beyond Lithium Inc. has released the list of projects which will form part of its exploration portfolio going into the 2024 season. The company also announced that it has entered into a binding letter of intent with Bounty Gold Corp. and Last Resorts Resources Ltd. to amend the terms of the March 30, 2023, option agreements between the parties.

One year ago, Beyond Lithium announced that it had entered into a three-year option agreement of 57 properties totalling 125,751 hectares from Bounty Gold and Last Resort with an annual cash option payment and share issuance to be made on the first, second and third anniversary of the March, 2023, agreements. The amendment defers the first anniversary cash payment of the March, 2023, agreements until Aug. 31, 2024. Beyond also amended the terms of the Victory option agreement (see the Oct. 10, 2023, news release) with Last Resort and Bounty Gold to defer certain cash payments for the Victory agreement to Aug. 31, 2024.

"Following careful planning over the last several weeks by the senior staff of Beyond Lithium, including our partners at Bounty Gold and Last Resorts, we are pleased to unveil our 2024 lithium exploration portfolio in Ontario," said Allan Frame, president and chief executive officer of Beyond Lithium. "I cannot overstate the importance of the continued support by Bounty Gold and Last Resort who have agreed to defer all cash option payments until Aug. 31, 2024. This will allow our company to continue to prioritize exploration dollars and keep dilution at a minimum. Given our low cash burn, most cash needs are now for exploration and will be addressed through flow-through dollars. These amendments will also allow Beyond Lithium to continue to have discussions with potential joint venture partners and optionors without being constrained by immediate financial necessities."

On January 16m 2024, Beyond Lithium Inc. has released the drill results of its 2023 drilling program at the Ear Falls project (20,623 hectares (ha)) with core logging facility located in the town of Ear Falls, Ont., which is just 10 minutes away from the site. The 2023 drilling program completed seven AQ-sized drill holes totaling 329.59m. The seven drill holes drilled tested 200m strike length of the initial spodumene-bearing pegmatites discovery at Ear Falls, the Wenasaga North Zone, with grab samples up to 4.54% Li2O (see press release dated September 17, 2023).

Allan Frame, President & CEO of Beyond Lithium, stated: "Our technical team could not be more pleased with the results from our initial drilling campaign at Ear Falls. The results released today meet and exceed our objectives for this early-stage project. To advance the project this quickly is remarkable. Firstly, the strong and pervasive lithium and cesium mineralization near surface at the Wenasaga North Zone indicates the potential of a larger system with wider pegmatites at depth and along strike North Zone. Secondly, the Sandy Creek West Zone has the same geochemical signatures with highly anomalous lithium and cesium as the drilling results from the Wenasaga North Zone implying the Sandy Creek West Zone is proximal to spodumene mineralization confirming the 13-kilometer prospective corridor."

On January 10, 2024, Beyond Lithium Inc. has entered into a mineral property purchase agreement with Patriot Lithium Ltd., an Australian-based mineral exploration company listed on the Australian Stock Exchange, pursuant to which the company will transfer to Patriot an undivided 100-per-cent interest in the 61 mining claims comprising the company's Borland East and Borland North projects located approximately 60 kilometres (km) northwest of Frontier Lithium's Pak project in Northwestern Ontario.

As consideration for the Borland Claims, Patriot will issue to Beyond Lithium on closing, 1,100,000 fully paid ordinary shares in the capital of Patriot, subject to certain contractual escrow requirements (the "Purchase Price Shares"). Additionally, Patriot shall pay Beyond Lithium a cash payment of C$2,500,000 for an initial mineral resource estimate filed or announced by Patriot declaring any JORC, NI 43-101, or SK-1300 compliant, as applicable, deposits or orebodies contained exclusively in any part of the Borland Claims exceeding 20 million metric tonnes of contained Li2O with an average grade equal to 1.0% Li2O or greater.

"We are pleased to announce the first of many expected transactions to maximize the value of our large lithium exploration portfolio in Ontario for the benefit of our shareholders. When looked at a price per hectare, this transaction values Beyond Lithium's 198,000-hectare portfolio at $33 million," commented Allan Frame, President and CEO of Beyond Lithium. "We adopted the project generator business model to maximize funds available for the exploration of our most advanced projects, while minimizing shareholder dilution. During our very successful 2023 exploration season, we generated significant amount of geological data on over 50 of our projects, making them attractive candidates for both companies which want to enter the lithium market or wish to consolidate existing land positions. These results will allow us to accelerate our deal-making activities."

On December 22, 2023, Beyond Lithium Inc.'s exploration permit applications for both the Victory project and the Ear Falls project have been successfully submitted to the Ontario's Ministry of Mines. Each application is for 30 drilling sites and 20 stripping locations. Each drill site is designed to drill multiple holes. The stripping locations are focused on each project's main exploration corridors. The drill programs at Victory and Ear Falls are designed to:

Define and expand the identified spodumene-bearing pegmatites zones, such as the Last Resort and the Bounty Gold Pegmatites at the Victory Project and the Wenasaga North Zone at the Ear Falls Project.

Drill test the different prospective areas along the exploration corridors to continue to demonstrate the continuity, the size, and the potential of both projects.

The stripping program is designed to expose additional pegmatites for sampling and mapping and also identify and prioritize drill targets.

On December 19, 2023, Beyond Lithium Inc. has released the results of a comprehensive exploration program at its Ear Falls spodumene project which confirm the potential of this recent discovery. The work recently completed at Ear Falls consisted of:

  • A stripping program designed to expose the extension of the spodumene pegmatites in all directions and to potentially uncover more subparallel dikes;
  • A drilling program targeted to further understand and delineate the characteristics and the densities of these subparallel spodumene pegmatite dikes;
  • An exploration and sampling program along the identified 13-kilometre lithium exploration corridor.

Allan Frame, president and chief executive officer of Beyond Lithium, commented: "Beyond Lithium announced the discovery of the spodumene-bearing pegmatites zone at Ear Falls project in September (see press release dated Sept. 17, 2023). Grab samples from the area where the initial discovery was made (named the Wenasaga North zone) assayed up to 4.54 per cent lithium oxide (Li2O). Given the promising results announced at the time, our team went back to the property and made significant additional discoveries. We are delighted that, in less than three months of fieldwork, we have completed a prospecting program, a stripping and channel sampling program, and a drilling program and we have extensively sampled new areas."

On November 30, 2023, Beyond Lithium Inc. has released the results of 14 grab samples from its two newly discovered spodumene-bearing pegmatites at the Victory project (see news release dated Oct. 10, 2023). The spodumene-bearing pegmatite located in the western side of the project, the Last Resort pegmatite, assayed up to 5.11 per cent Li2O (lithium oxide), and all 11 announced sample results are above 1 per cent Li2O.

The other spodumene-bearing pegmatite located in the eastern side of the project, the Bounty Gold pegmatite, assayed up to 3.48 per cent Li2O. These two spodumene-bearing pegmatites are five kilometres apart and lie within a six-kilometre-long exploration corridor that is controlled by the regional English River subprovince and Wabigoon subprovince boundary and local metasediment-metavolcanic contacts. Highlights:

  • Grab samples from the spodumene-bearing pegmatite in the western side of the exploration trend (the Last Resort pegmatite) assayed up to 5.11 per cent Li2O and all 11 announced sample results are above 1 per cent Li2O.
  • Grab samples from the spodumene-bearing pegmatite in the eastern side of the exploration trend (the Bounty Gold pegmatite) assayed up to 3.48 per cent Li2O.
  • The two spodumene-bearing pegmatites are about 30 to 40 metres in width and have been traced over 150 to 300 metres along strike on surface.
  • The two spodumene-bearing pegmatites are five kilometres apart and both pegmatites lie within a six-kilometre-long exploration corridor that is structurally controlled by the subparallel English River subprovince and Wabigoon subprovince boundary.
  • Assays for an additional 32 grab samples and 28 channel samples from the Victory project are pending.
  • A drilling and trenching exploration permit application for the Victory project is expected to be submitted to the Ministry of Mines of Ontario before the end of December.
  • The company has appointed a director of communications.

On November 20, 2023, Recent exploration work at Beyond Lithium Inc.'s Cosgrave Lake project has indicated the proximity to the potential discovery of a higher-grade lithium spodumene zone. Highlights:

  • Recent exploration at the Cosgrave Lake Project established a mineral and fractionation zonation around the Beyond Lithium's recently discovered Allen Graeme ("AG") Pluton comparable to the MNW spodumene-bearing pegmatite's mineral zonation located 2.8km north of the Cosgrave Lake Project.
  • A grab sample from a pegmatite just outside the green muscovite zone composed of quartz, feldspar, and alluaudite returned with 0.39 per cent Li2O (1,832ppm Li) and 2.77 per cent Manganese (Mn) suggesting the pegmatite is highly fractionated.
  • The 0.39 per cent Li2O grab sample in pegmatite indicates the proximity to the potential discovery of a higher-grade lithium spodumene zone.
  • Over 4,000 field data points of lithology and mineralogy have been compiled from the Phase 2 mapping program at Cosgrave Lake. Several groups of pegmatite outcrops were outlined by the mapping program with some of these pegmatite outcrop groups measuring up to 10 to 30 meters in width and over one kilometer in strike length.

"We could not be happier with the results of the exploration program at Cosgrave Lake following the discovery of the Allen Graeme ("AG") Pluton earlier this summer (see news release dated August 1, 2023)," said Allan Frame, President & CEO of Beyond Lithium. "The compilation of over 4,000 data points of lithology and mineralogy, 133 grab samples, including a sample with elevated Li2O values, indicate the proximity to a potential high-grade lithium spodumene zone on the property. We are optimistic that we could add a third spodumene discovery to our portfolio, with all three projects being within a 100-kilometer radius."

On November 17, 2023, Beyond Lithium Inc. announced that the completion of an oversubscribed, non-brokered private placement of 3,118,333 units of the Company (the "Units") at a price of $0.30 per Unit for aggregate gross proceeds of $935,500 (the "Offering"). Each Unit consists of one common share in the capital of the Company (a "Share") and a one-half common share purchase warrant (a "Warrant"). Each full Warrant entitles the holder to purchase one additional Share in the capital of the Company at a price of $0.45 per Share for a period of 24 months from the closing date, subject to customary adjustment and acceleration provisions in certain circumstances. The Warrants are subject to a provision that if the volume weighted average trading price of the common shares of the Company on the Canadian Securities Exchange (the "Exchange") equals or exceeds $0.70 over any period of ten consecutive trading days, the Company will be entitled to accelerate the expiry date of the Warrants to the date which is twenty days following the date notice of such acceleration is delivered to holders of the Warrants.

"The strong demand for our private placement in a what some would describe as a challenging financing market for exploration companies further highlights the quality of our lithium assets in Ontario and the success of our 2023 exploration campaign to date," said Allan Frame, President & CEO of Beyond Lithium. "We are awaiting assay results from over 500 rock and channel samples and 240 drill core samples, 70% of which come from our Victory, Ear Falls and Cosgrave projects. These results, expected shortly, will help guide our upcoming drill campaign at our Victory and Ear Falls spodumene projects. They will also give us an indication of the next steps on exploration at Cosgrave."

The Company intends to allocate the net proceeds for payments under existing mineral property option agreements and for general corporate and working capital purposes.

On November 10, 2023, Beyond Lithium Inc. announced that as a result of strong investor demand, the private placement previously announced on October 23, 2023, is being increased to up to 2,500,000 units of the Company (the "Units") at a price of $0.30 per Unit for aggregate gross proceeds of up to $750,000.00 (the "Offering"). Each Unit will consist of one common share in the capital of the Company (a "Share") and one-half common share purchase warrant (a "Warrant"). On October 23, 2023, Beyond Lithium Inc.'s stripping and drilling program at the Ear Falls spodumene project will start this week. The main objective of the stripping and drill program is to gather additional geological data at the Ear Falls spodumene project to delineate and prioritize targets for the next drilling program, a more extensive drilling program that will drill test the larger footprint of the Ear Fall's spodumene system. Beyond Lithium will be submitting a further and expanded drilling permit application for the next drill program to Ontario's Ministry of Mines immediately after the completion of the current stripping and drilling program along the spodumene-bearing pegmatites zone.

The program announced today will consist in:A stripping program designed to expose the extension of the spodumene pegmatites in all-directions and to potentially uncover more subparallel dykes.A drilling program targeted to further understand and delineate the characteristics and the densities of these subparallel spodumene pegmatite dykes.

On October 10, 2023, Beyond Lithium Inc. has entered into an option agreement with Bounty Gold Corp. and Last Resort Resources Ltd. to acquire 100 per cent of the Victory project (7,873 hectares) and the Victory West project (8,808 hectares), situated in the Dryden/Ear Falls region of Ontario. The Victory project is located just 40 km east of Kenora and 70 km west of Dryden with excellent nearby infrastructure including:

  • Pacific Railway (CP Rail) and network along the southern claim boundaries of the Victory Project
  • Access via Trans-Canada Highway and Highway 17 that connect to Kenora and Thunder Bay
  • 20-minute commute time from the nearest town of Vermilion Bay
  • Power line along Highway 17.

On September 21, 2023, Beyond Lithium Inc. has acquired a 100-per-cent undivided interest in 279 non-contiguous mining claims totalling 9,378 hectares. This acquisition results in a significant expansion of three of its optioned properties known as Ogani Lake, Maytham and Superb Lake North, as well as the acquisition of a new property named Sydere. The properties are all located in the province of Ontario.

Allan Frame, president and chief executive officer of Beyond Lithium, commented: "The expansion of three of our properties comes on the heels of our phase 1 exploration program results. We have now moved 17 projects to phase 2 exploration and expanded three properties, in addition to the expansion of the Ear Falls project announced earlier this week. The upcoming results from our phase 2 programs, plus pending results from phase 1 exploration on several properties, will dictate which projects will we dedicate exploration dollars to later this year and in 2024."

On September 18, 2023, Beyond Lithium Inc. has discovered a new spodumene-bearing pegmatite zone at its 206-square-kilometre Ear Falls project in Northwestern Ontario. Grab samples have assayed up to 4.54 per cent lithium oxide, and a minimum three-kilometre-long prospective trend has been identified. A highly fractionated sample located two kilometres northeast of the spodumene pegmatite zone establishes a minimum three-kilometre-long trend for spodumene-bearing pegmatite exploration.

Upon making this new discovery, Beyond Lithium strategically expanded the Ear Falls project from 3,375 hectares to 20,623 hectares (approximately 600-per-cent expansion) in area.

The Ear Falls project, previously referred to as the Wenasaga property, is located right outside of the town of Ear Falls, 70 kilometres south of Red Lake and 145 kilometres north of Dryden in Northwestern Ontario. Ear Falls has excellent infrastructure, including highway and logging road access, power lines, services, and local labour.

On September 12, 2023, Beyond Lithium Inc. has provided an exploration update on several of its 64 lithium exploration projects located in Ontario. Highlights:

  • Completed on five additional properties in the Wabigoon-English River District totalling 22,002 hectares: Linklater Lake, Tennant Lake, Sollas Lake, Superb Lake and Maytham Lake.
  • Collected a total of 160 samples on these five properties and have received completed assays for Superb Lake (2,054 ha) and Maytham Lake (7,400 ha).
  • Superb Lake property assays show elevated lithium and cesium on trend with Rock Edge Resources Ltd.'s (CSE: REDG) spodumene bearing pegmatites.
  • Phase 1 exploration is ongoing in the Root Lake area including the Peggy Group (7,410 ha), Root Lake North (1,322 ha), and McKenzie Bay (6,186 ha) properties which are next to Green Technology Metals' (ASX: GT1) Root-McComb Lithium projects.
  • Phase 2 Exploration Highlights Seven additional projects moving to Phase 2 exploration, for a total of 17 projects.
  • Recent exploration at the Cosgrave Lake project identified zonation around the AG pluton discovery. Also 71 additional samples were collected, and 55 new pegmatites were mapped.
  • Follow up programs are planned for the Webb East (2,955 ha), Webb West (624 ha), Gullwing-Tot (645 ha), Satellite (1,287 ha), and Laval (1,042 ha) properties in the Dryden area which are next to Critical Resources Ltd.'s (ASX: CRR) Mavis Lake Lithium project.

On August 01, 2023, Beyond Lithium Inc. has discovered a new LCT pegmatite intrusive stock -- also known as a fertile pluton -- at its Cosgrave Lake project. The new discovery was named the Allan Graeme ("AG") Pluton in recognition of those individuals who played a significant role in its discovery. The Cosgrave Lake project was one of the earlier projects being prospected as part of Beyond Lithium's Phase 1 program. The discovery of the AG Pluton at the Cosgrave Lake project unlocks tremendous lithium exploration opportunities for Beyond Lithium.

Mr. Frame, President and CEO of Beyond Lithium, commented: "This discovery shares similarities with three significant lithium discoveries in the Georgia Lake District, namely the MNW pluton, the Barbara Lake pluton, and the Pine Portage pluton. These well-known fertile plutons in the district are associated with prolific lithium pegmatite belts. The AG Pluton at Cosgrave Lake therefore presents a significant opportunity for Beyond Lithium. The size and geochemical characteristics of the AG Pluton indicate its potential as a source of concentrated fluids, volatiles, lithium, and rare earth minerals, making it an exceptionally promising area for further exploration."

On July 19, 2023, Beyond Lithium Inc. has provided an update on the phase 1 exploration program and its plans to initiate the phase 2 exploration program on 10 different properties in early August.

"In two short months, we were able to complete Phase 1 exploration on a total of 39 properties covering an area of more than 107,000 hectares," said Allan Frame, President and CEO of Beyond Lithium. "Our four field teams supervised by Beyond Lithium's Senior Geologist, Paul Baxter, collected more than 700 grab and channel samples and over 160 mineral samples of muscovite or feldspar from different properties for lab and LIBS analysis.
