Introduction

Solis Minerals is a Latin American battery mineral-focused mining exploration company. The Company owns a 100-per-cent interest in the Borborema lithium project in northeast Brazil, covering 25,600 hectares. It has an option to acquire 100-per-cent of the Jaguar lithium project in Bahia state, Brazil. In addition, Solis also holds a 100-per-cent interest in 32,000 hectares of combined licences and applications of highly prospective IOCG (iron oxide copper/gold) and porphyry copper projects in southwestern Peru within the country's prolific coastal copper belt – a source of nearly half of Peru's copper production.

Borborema Lithium Project, Brazil

Solis has completed a new magnetic drone survey and the reprocessing of historical magnetic data at Ilo Norte, culminating in the identification of multiple high-priority targets. In addition to the survey completion, and as previously announced, Solis has applied for an additional 3,700 hectares of highly prospective ground in the Ilo Norte region and is also ground-checking new anomalies in both Ilo Norte and Ilo Este. Matthew Boyes, Executive Director

Mr. Boyes was previously Managing Director of Lithium developer Red Dirt Minerals (ASX: RDT) and has over 20 years of Global experience in mine Geology, project evaluations, mine development and pre-feasibility studies. Mr. Boyes has worked extensively in South America and is familiar with Solis’s Copper assets and Lithium licences.

Christopher Gale, Non-Executive Chairman

Mr. Gale has over 20 years’ experience in managing and advising public and private companies. He was Chairman of the Council on Australian Latin American Relations (COALAR). He is a member of the Australian Institute of Company Directors (AICD). He is also an Executive Director of Latin Resources Limited.

Kevin Wilson, Non-Executive Director

Mr. Wilson has over 30 years’ experience in the minerals and finance industries. He is the current Chairman of Navarre Minerals Ltd.

Michael Parker, Non-Executive Director

Mr. Parker is a geologist by training and was country manager for First Quantum Minerals (FQM) in Peru. He was instrumental in two major copper discoveries, the Lonshi and Frontier mines.

News Update

On October 15, 2024, Solis Minerals Ltd. has provided an update on exploration activities at the Cinto project, situated in the prospective Cenozoic porphyry belt of southern Peru.

Solis has completed a combined drone and ground magnetometry survey over its Cinto permits. The survey shows magnetic anomalies south of an intrusive batholith contact with corresponding alteration detected from WorldView 3 remote sensing work. Areas of low magnetic response northeast of the batholith contact represent alteration that contains the area of visible copper mineralization present at Cinto.

Executive director Mike Parker commented: "Cinto has an incredible address on the regional Incapuquio fault system with the giant Toquepala porphyry copper mine only 15 kilometres to the north. The magnetometry survey provides excellent insight into the geology and alteration at Cinto.

"Combined with our previous remote sensing work, and mapping and sampling -- including our high-grade copper sample area in the northeast of the permits -- we are forming an exceptional toolbox to extract the maximum benefit from our ongoing porphyry exploration. We will now conduct further assessment using IP surveys to guide our first-pass drill program."

On October 04, 2024, Solis Minerals Ltd. has provided an update on exploration activities in Peru. Highlights:

  • Large, new 25,600-hectare project prospective for porphyry copper mineralization;
  • Canyon project is located 675 kilometres northwest of Ilo Este in Coastal intrusive belt;
  • New project is bracketed along strike by porphyry copper occurrences;
  • Application made for 27 exploration concessions, providing low-cost entry;
  • Chancho al Palo drilling to commence by year-end.

Solis has made applications for 27 exploration concessions, totalling 25,600 hectares, in a contiguous block known as the Canyon project. The target is copper porphyry mineralization, principally oxides, situated on a northwest-southeast prospective trend with known porphyry occurrences just outside the application area as well as reported exploration activities within the area itself.

The application area contains a belt of intrusive rocks known as the Coastal batholith, which stretches from the Ecuadorean border in the north to the Chilean border in the south along the coast of Peru.

Michael Parker, executive director of Solis, commented: "This is a significant opportunity for Solis to continue exploring for copper in its area of expertise -- the intrusive belts of the coast of Peru. This large prospective block is bracketed by porphyry copper projects along strike, which are localized by cross-faulting.

"In the application area, similar structures were identified in previous exploration, which will be the immediate area of focus. The relative lack of cover rocks will enable us to use geochemistry as a rapid and efficient tool to focus in on follow-up areas. Our focused staking strategy is the most cost-effective way of adding to our exploration pipeline.

"In addition, we believe this area adds another element to our copper strategy in providing an opportunity to explore for near-surface heap-leachable copper oxide resources that offer relatively less expensive and easier fast-track copper production."

On September 16, 2024, Solis Minerals Ltd. has provided an update on exploration activities at the Guaneros project situated in the prospective Coastal belt of southern Peru.

Solis has completed a drone magnetometry survey over its application areas known as the Guaneros project. The survey shows magnetic anomalies in areas close to the intrusive batholith contact with similar magnetic responses to those seen at Ilo Este. Additionally, two rock samples from outcrops north of the Guaneros southern magnetic anomaly returned copper assays of 0.37 per cent Cu and 0.14 per cent Cu, and gold results of 0.17 gram per tonne Au and 0.11 g/t Au, respectively.

Executive director Mike Parker commented: "The results of the drone magnetometry have made a highly significant contribution to our understanding of settings for potential mineralization in the prospective Coastal belt.

"At Guaneros, similar magnetic signatures to those associated with known mineralization at nearby Ilo Este are evident. Rock samples in the area have returned highly anomalous copper and gold values associated with alteration akin to porphyry style mineralization. We will continue to complement our knowledge, with ground investigations and further geophysics, where appropriate, as we develop a clear road map to permitting and drilling.

"The Guaneros project along with the neighbouring Ilo Este and Chancho al Palo projects have developed into a major focus for our copper exploration in south Peru. We look forward to progressing our permitting and drilling."

On August 21, 2024, Michael Parker has been appointed executive director of Solis Minerals Ltd. following his stewardship of the company as non-executive director since the Australian Securities Exchange listing in December, 2021. Mr. Parker will be responsible for the operation of the company's exploration businesses in Latin America.

Mr. Parker is a geologist by training and has been a member of the FAusIMM for 16 years. He has extensive experience in exploration and project development, overseeing projects from discovery through construction to production. He held senior country manager positions with First Quantum Minerals and was responsible for two major copper discoveries: the Lonshi and Frontier mines. From 2011 to 2017, he was country manager for FQM in Peru, responsible for the design and implementation of FQM's corporate strategy in Latin America, including Argentina and Chile. He has a BSc in mining geology (honours), University of Leicester, United Kingdom.

Matt Boyes has resigned as a director and officer from Solis, effective Aug. 30, 2024. The board would like to thank Mr. Boyes for his significant contribution for the past 18 months and wish him well for the future.

On July 30, 2024, Solis Minerals Ltd. has presented its quarterly report for the three months ended May 31, 2024. Highlights:

  • Copper drill targets submitted for permitting in Chanco al Palo and Ilo Este, southern Peru;
  • Magnetometry surveys at Guaneros, a newly acquired project, scheduled to start in first week in August;
  • Surface copper mineralization identified at Cinto with a magnetometry survey program commencing upon completion of Guaneros;
  • Pipeline of drill testing multiple targets taking shape with the first permit expected in fourth quarter this year.

On July 23, 2024, Solis Minerals Ltd. has provided an update on exploration activities at the Guaneros project in Peru. Solis has contracted a geophysical contractor to carry out a maiden drone airborne magnetometry survey to assist in fast-tracking target generation, identify zones for further geophysical follow-up and formulate the drill permitting application. Airborne magnetometry is useful in detecting the presence of magnetite in the subsurface that can be a vector for porphyry alteration.

Executive director Matthew Boyes commented: "We are starting to gain some real momentum now in the exploration programs on our quality copper portfolio in Peru. Airborne mag surveys are a great tool to assist with the initial targeting of the first drill holes at Guaneros. In conjunction with IP surveys and geochemical surveys, we hope to start to see target generation similar to our Ilo Este and Chancho Al Palo targets on a prospective trend a few kilometres to the southeast and northwest, respectively. Ilo Este in particular has an outstanding magnetic and IP geophysical signature, combined with surface mineralization in altered porphyry rocks.

"Guaneros is a new project for Solis, which was pegged in early May. I am looking forward to seeing the first results and advancing the target. We are advancing our four project areas in Peru and aim to have them aligned to be drilled sequentially, starting firstly with Chancho Al Palo as early as December this year, depending on permitting."

On July 09, 2024, Solis Minerals Limited announced an update on exploration activities at the Cinto Project Peru. Solis has recently completed a first pass geochemical programme at the Cinto Project and has finalised an access agreement with the local community to fast-track drill exploration at this location. Highlights:

  • Solis has signed an access agreement with local Carumbraya community at the Cinto Project and initiated systematic mapping and sampling of outcropping copper mineralisation
  • Surface grab samples from Cinto report assays up to 7.14% Cu with mineralisation mapped over a 200m x 100m area in historical workings associated with significant alteration and structural deformation
  • Significant structures evident in 100m wide exposed area with abundant copper oxide mineralisation in historical artisanal workings
  • Positioned on boundary of regional scale transcurrent Incapuquio fault system which forms structural corridor related to massive Toquepala porphyry system 10km to the north-west
  • Geochemical signature and base metal concentration ratios assayed in very similar ranges to metals content in Toquepala indicating porphyry-style mineralisation1
  • Drone magnetometer and follow up geological mapping is underway to guide drill permitting

On May 10, 2024, Solis Minerals Limited announced an update on recent applications for new copper exploration licences in Peru. Solis has successfully applied for a 6,400-hectare package comprising of seven licences of largely underexplored exploration areas in a highly prospective coastal belt, which were pegged on the 2nd of May (see Figure1). The areas were previously held by Anaconda Copper. Field visits by Solis teams indicate minimal ground exploration has been carried out in recent times.

The Company now holds a significant landholding of 43,500 hectares principally along a coastal belt bounded to the west by batholiths of Jurassic and Cretaceous age (see Figure 2). Based on the outcropping porphyry copper mineralisation at Ilo Este, Solis considers that the eastern margins of the batholiths represent highly prospective areas for porphyry copper occurrences emplaced in volcanic or volcaniclastic rocks.

Executive Director, Matthew Boyes, commented: "We are very pleased to further bolster our portfolio through the addition of a large land package containing highly prospective copper exploration ground in Peru. Solis is building a compelling portfolio of exploration properties in an underexplored porphyry belt, with excellent access and existing infrastructure. Drill permits are advancing as quickly as possible in conjunction with our ongoing non-invasive exploration efforts, preparing us to commence drilling once all necessary approvals are obtained and first drill sites are finalised.

"Solis continues to review and progress potential acquisitions in the copper and lithium space across targeted areas of South America and has two teams dedicated to the evaluation process, which is now bearing significant fruit. In the next 6-12 months will see advancements across our pipeline of copper exploration projects in Peru as we continue to look to add to our Brazilian portfolio of lithium properties."

On April 29, 2024, Solis Minerals Ltd. has provided an update on the recently completed drilling program at both the Estrela and Mina Vermelha prospects in Borborema, regional geochemical soil program in Brazil, and geophysical target generation in Peru. Highlights:

  • --Drill permitting underway at Ilo Este with initial drill programme design underway, Chancho al Palo drill permitting commencing in May
  • --Significant geophysical targets identified at Chancho al Palo and Ilo Este following up from excellent initial IP results, surface exposure at Chancho confirms copper mineralisation
  • --Copper asset portfolio continually growing with an additional licence pegged at Ilo Este and several other large packages under review
  • --Solis continues to review multiple new opportunities across varied commodities and jurisdictions

Executive Director, Matthew Boyes, commented: "Our Peruvian copper assets are quickly moving to the fore and we have some very promising targets generated by our team on the ground. Ilo Este and Chancho al Palo both look to be excellent copper targets and we look forward to getting the permitting granted and start drilling as soon as possible"

"Solis is also constantly reviewing potential acquisitions and has implemented a series of cost cuts across the group with only essential expenditure being maintained until a new project is secured."

"The final assays have now been received for the Estrela and Mina Vermelha drilling but no lithium mineralisation of significance was reported. We are now undertaking a final review of all assay data from both Estrela and Mina Vermelha before deciding the next steps with regards to follow up exploration. Our first pass mapping and geochemical programmes have also advanced following access restrictions caused by high rainfall earlier in the year".

On February 04, 2024, Solis Minerals Ltd. has provided further details of the contract between Solis and S3 Consortium Pty. Ltd., trading as StocksDigital, in which StocksDigital will provide the company with marketing and investor communications services, as announced to the Australian Securities Exchange on July 5, 2023.

A key term of the StocksDigital mandate was the issue of 2.5 million shares to StocksDigital in consideration for the services to be provided by StocksDigital. As set out in the July announcement, the policies of the TSX Venture Exchange prohibit the issue of the StocksDigital shares as compensation in the nature of what was agreed between the parties under the StocksDigital mandate.

The company and StocksDigital have agreed to vary the terms of the StocksDigital mandate whereby the company will not issue the StocksDigital shares and instead compensate StocksDigital for its services in accordance with the following:

  1. Issue 1.75 million unquoted options to StocksDigital subject to the terms and conditions set out in Schedule 1 to this announcement;
  2. Pay $307,500 (Australian) to StocksDigital.

Other than the above-mentioned amendment to the consideration, the StocksDigital mandate otherwise continues in full force and effect.

On January 31, 2024, Solis Minerals Ltd. has presented its quarterly report for the three months ended Nov. 30, 2023. Brazil Lithium projects ( Borborema, Estrela prospect ):

Progress on the exploration program at the Estrela Prospect continued during the quarter and drilling was completed shortly after the quarter end. This included completion of reconnaissance mapping, mobilisation of an additional drill rig, submission of assays and demobilisation of the drill teams on completion of the programme.

The preliminary reconnaissance mapping completed in September 2023, resulted in the identification of three new lithium bearing outcropping pegmatites with confirmed spodumene present (Figure 1) and rock chip samples returning results up to 7.6% Li2O1 (Table 1).

Mina Vermelha ProspectIn October 2023, Solis entered into an option agreement to purchase the Mina Vermelha Project in the Borborema Municipality of Rio Grande do Norte and along the same mineralised regional trend as the Estrela Prospect.

On January 25, 2024, Solis Minerals Ltd. has provided an update on the recently completed drilling program at both the Estrela and Mina Vermelha prospects in Borborema, Brazil.

Executive director Matthew Boyes commented: "Drilling has now been completed and rigs are demobilizing from the Borborema project area. The initial results have not met expectations from either Estrela or Mina Vermelha projects despite the early potential demonstrated by surface exploration and the proximity to known lithium-bearing systems.

"Both projects represented a relatively low cost option for the company with funds directed predominantly into the drilling programs. This targeting funding has allowed us to efficiently evaluate the potential of the assets before committing to subsequent payments.

"Solis is continually evaluating new potential acquisitions, including opportunities in Borborema, Minas Gerais, to the south and expansion of our copper portfolio in Peru. This strategy of using earn-in option agreements will continue to be used, allowing exploration and drilling spending to be prioritized."

On December 14, 2023, Solis Minerals Ltd. has completed the induced polarization (IP) study at its Ilo Este project in Peru. Highlights:

  • The Induced Polarisation (IP) geophysical study at Ilo Este Porphyry Copper (Cu) project has identified a large high magnitude chargeability anomaly.
  • The IP anomaly located at contact with previously identified magnetic anomaly.
  • Combined geophysics and site geology result in confirmation of a highly prospective large-scale untested drill zone.
  • Surface mapping and sampling identifies areas of potassic altered porphyritic microdiorites with associated copper oxides (Malachite).
  • Drill site selection is underway and drill permitting processes initiated.

Executive Director, Matthew Boyes, commented:

"Ilo Este is shaping up to be a compelling porphyry copper target with the successful identification by our team in Peru of an extremely prospective high chargeability anomaly located in close proximity to the previously identified large magnetic anomaly."

"The drill programme planning has already commenced to allow us to test these anomalies with drilling next year. A semi-detailed environmental impact study will now be undertaken to select drill sites to test these exciting targets. Historical drilling returned highly anomalous values for copper and gold but clearly missed the highest priority target areas generated in this newly acquired IP data combined with reprocessed magnetic data."

"Surface mapping and reconnaissance programmes is ongoing on all our Peruvian land package. A continuous process of project evaluation is underway with a view to growing our already large, quality exploration portfolio."

On December 07, 2023, Solis Minerals Ltd. has released an update on the drilling program currently under way at the Estrela and Mina Vermelha projects in the Borborema province, Brazil.

Executive director, Matthew Boyes, commented:

"Drilling crews have steadily performed on schedule over the past four weeks at Estrela and are now also operating at the Mina Vermelha prospect. The crews are on course to complete both programs within the scheduled time frame, and have all core processed and submitted with the laboratories before the Christmas break.

"Initial signs are encouraging with visible spodumene-bearing pegmatites intersected in several target areas, including significant widths of pegmatite reported especially in the initial holes at Mina Vermelha. We are looking forward to receiving our first assay results, which will assist in the team gaining a full understanding of the distribution of the mineralization within the system and also direct the next round of drilling at both projects."

On October 31, 2023, In accordance with Listing Rule 3.13.2, Solis Minerals Ltd. has released details of the resolutions and proxies received for the annual general meeting of the shareholders held on Oct. 31, 2023, in Perth, Australia. All resolutions were passed on a poll. The voting results are provided in attached tables for shareholders.

On October 30, 2023, Solis Minerals Ltd. has provided an update on the commencement of the second drill rig at the Estrela prospect in the Borborema province of Brazil. Highlights:

  • A second large capacity rig is now on site and has commenced drilling on outcropping lithium pegmatite targets at Estrela;
  • Multiple outcropping pegmatites have been identified at Estrela and are scheduled for testing as part of this initial program of 3,600 metres;
  • A regional scale geochemical program on northern Borborema tenements being mobilized;
  • Solis continues to negotiate additional acquisitions in the Borborema province.

On October 17, 2023, Solis Minerals Ltd. has provided an update on commencement of drilling activities at the Estrela prospect in the Borborema province of Brazil. Highlights:

  • Solis has commenced a 3,600m diamond drill program on its Estrela prospect located in the emerging Borborema Lithium Province.
  • The first of two large capacity track mounted rigs onsite and drilling the first pegmatite target which previously returned rock chips of up to 7.6% Li2O1.
  • Multiple outcropping pegmatites have been identified at Estrela and will be tested as part of this initial program.
  • Four separate outcropping pegmatite bodies have been confirmed to be spodumene bearing, representing over 1.5km of surface strike extension.
  • Pad selection and preparation works are now underway at Mina Vermelha prospect for an additional 1,300m diamond drill program to be conducted in parallel with the Estrela drilling program.

On October 12, 2023, Solis Minerals Ltd. has provided an update on entering into an option agreement to purchase the Mina Vermelha project targeting lithium pegmatites in the Borborema province of Brazil. Highlights:

  • Solis has entered into an option agreement to purchase the Mina Vermelha project.
  • Mina Vermelha is in the Borborema district of Rio Grande do Norte, and along the same mineralized regional trend as the Estrela project.
  • The Mina Vermelha tenement covers approximately 500 hectares with a granted mining lease of six hectares over one of the six currently known outcropping pegmatites on the lease.
  • Solis has confirmed grades in grab samples of 3.45 per cent and 3.07 per cent Li2O (lithium oxide) from outcropping pegmatites and a cesium assay of 28.3 per cent from an area within the southernmost pegmatite with abundant pollucite (cesium mineral), confirming the system is LCT (lithium-cesium-tantalum)-bearing.
  • Drilling is scheduled to commence in approximately four weeks, with a large track-mounted diamond rig being mobilized for a 1,300-metre, eight-hole initial program.
  • A 12-month due diligence period has been agreed for $155,000 (Australian), allowing Solis sufficient time to fully evaluate the asset potential before exercising the option to purchase.
  • Negotiations regarding the option agreement over the Jaguar project have been concluded with the company electing to withdraw from the project.

  • Rock chips of up to 7.6% Li2O taken from outcropping spodumene rich pegmatites at Estrella
  • Two additional drill rigs being mobilized to explore both Borborema and Jaguar Projects
  • First three holes from Jaguar are at the lab and awaiting assays, 12 holes have now been completed
  • Due diligence period for Jaguar currently being re-negotiated to allow systematic evaluation of the Project's potential

August 10, 2023, Solis Minerals Ltd. has completed a new magnetic drone survey and the reprocessing of historical magnetic data at Ilo Norte, culminating in the identification of multiple high-priority targets. In addition to the survey completion, and as previously announced, Solis has applied for an additional 3,700 hectares of highly prospective ground in the Ilo Norte region and is also ground-checking new anomalies in both Ilo Norte and Ilo Este.
