INTRODUCTION

Genio Gourp, Inc. is a developer and marketer of entertainment and leisure products whose management team has substantial experience in consumer product marketing. Genio Group holds a worldwide license with Marvel Enterprises, Inc. to manufacture and sell specific categories of products built around the globally recognizable Marvel Super Heroes™, including Spider-Man™, The Incredible Hulk™, X-Men™, Elektra™, Daredevil™ and the Fantastic Four™. The Genio Card collection is currently available in select national retailers in the United States including Target, CVS, Wal-Mart, K-Mart, FAO Schwarz, Zany Brainy, Toys-R-Us, Walgreens and Linen & Things.

GENIO CARDS AND RELATED PRODUCTS

Genio Cards™ are designed to provide children with a unique combination of an educational experience made moregenio1.jpg (104247 bytes) accessible through the colorful Marvel Super Heroes™. Genio Cards™ is a collection of 360 illustrated cards featuring Marvel Super Heroes™ and original artwork that takes kids on an amazing journey through 30 subject categories: from the birth of our universe and the outer reaches of space, to the traditions of martial arts and death-defying feats of extreme sports. As kids collect and play with Genio Cards™, they learn about new topics and test their knowledge with the Genio Power challenge, which challenges players to match wits using their newly discovered Genio facts and learn fantastic facts about our world.

The Genio Card series includes a collector's album, 9-card packs and 36-card MegaDecks and proprietary card protectors. The Genio Cards product line targets the customers of many of the biggest retail chains in North America. The Genio Cards series attracts kids ages 4-12 and are accepted by their parents as a quality 'edutainment' product.

Marvel Enterprises, Inc. is a leading global character-based entertainment licensing company that has developed and owns a library of over 4,700 characters, which have entertained generations around the world for over 60 years.

RECENT BUSINESS DEVELOPMENT

On November 06, 2003, Genio Group, Inc. announced that its Genio Cards™ card collection is now available in more than 800 Blockbuster trial-market stores nationwide representing Genio's first expansion into non-traditional retail outlets.genio2.jpg (85177 bytes) Blockbuster's initial purchase order included 36-card MegaDecks and 9-card packs. Blockbuster Inc. is a publicly traded subsidiary of Viacom Inc. and a leading global provider of in-home movies and game entertainment, with approximately 8,700 stores throughout the Americas, Europe, Asia and Australia. The company may be accessed worldwide at blockbuster.com. Viacom is a leading global media company, with preeminent positions in broadcast and cable television, radio, outdoor advertising and online.

On October 27, 2003, Genio Group, Inc. announced that the Company's first product offering, the Genio Cards™ series is now available at more than 10,000 retail outlets nationwide.

On October 10, 2003, Genio Group, Inc. announced that its new Genio Cards™ collection, including 9-card packs and 36-card MegaDecks, are now available at the checkout counter at more than 4,000 CVS retail outlets nationwide. Presently, CVS operated 4,137 retail and specialty pharmacy stores in 32 states and the District of Columbia.

On October 01, 2003, Genio Group, Inc. announced that it has entered into an exclusive distribution agreement with Tomy UK Ltd., whereby Tomy has been granted the exclusive distribution rights for Genio's new Genio Card™ collection and accessories in the United Kingdom and British Isles. The agreement represents Genio's first international marketing agreement following the strong United States launch of the Genio Card collection in August, 2003. Tomy UK Ltd. is wholly-owned by Tomy Company, Ltd., a leading global distribution company based in Tokyo, Japan.

Ms. Eisner brings nearly thirty years of licensing and entertainment brand management experience to Genio Group, including fourteen years at 4 Kids Entertainment, Inc., an NYSE-listed licensing and entertainment company, associated with Pok
èmon, Yu-Gi-Oh and other popular children's brands. Ms. Eisner joined 4 Kids (previously named Leisure Concepts Inc.) in 1989, first as a Director and then as Senior Vice President of Licensing, a position she held until electing early retirement in April 2003. During her tenure at 4 Kids Entertainment, Ms. Eisner supervised all of the Company's domestic and international licensing programs for the Pokémon Brand, including the licensing of the popular trading card series with Wizards of the Coast and the licensing and marketing of toys, television series and movies based on the characters.

Ms. Eisner is credited for playing a pivotal role in forging Pokémon into a global phenomenon that transformed the face of children's entertainment. At 4 Kids, Ms. Eisner was also responsible for the development and implementation of marketing and licensing strategies for Nintendo, James Bond 007 movies (GoldenEye and Tomorrow Never Dies) and World Championship Wrestling, for both domestic and international markets.

Andrew J. Schenker, CFO
Mr. Schenker brings nearly 20 years of financial and management experience to Genio Group. Prior to joining Genio, Mr. Schenker was the Chief Operating Officer of CDKnet.com, a public company, beginning in April 2002. He also serves as a Director of CDKnet.com since May 1998. He joined CDKnet.com in January 2002 as President. In addition to his position with CDKnet, he also served as General Manager - Worldwide Education Marketing Division at Symbol Technologies, Inc., a leader in mobile data management systems and services. Mr. Schenker is a trustee for several trusts and a public foundation, as well as an executive committee member of the Smithtown Central School District Industry Advisory Board.

NEWS UPDATE

On May 25, 2004, Genio Group, Inc. announced that it has received an initial purchase order of approximately $250,000 from Tomy UK Ltd. for a French language version of Genio Cardsa. Tomy UK has designated a distribution company in France to market the French language version in that market. Genio, which expects to begin shipping the new French translation of the product line in July, during the Company's fiscal fourth quarter, has previously shipped Spanish and Italian versions of Genio Cards.

On May 24, 2004, Genio Group, Inc. announced the launch of its new web site - www.beanz-tcq.com - for its new collectible trading card game based on the popular children's collectible toy, Mighty Beanza. Mighty Beanz are one of the "hottest" and most popular children's collectibles in North America, and Genio's new trading card game is off to a strong start, having already shipped $2.2 million to mass-market retailers in the past month. Feedback from retailers is positive indicating good initial sell-through to consumers.

On May 18, 2004, Genio Group, Inc. reported results for the fiscal 2004 second quarter ended March 31, 2004. Genio Group reported net sales of $1.2 million and a net loss of ($0.7) million, or ($0.03) per basic share for the second quarter ended March 31, 2004. The loss includes a non-cash charge of $0.3 million for costs associated with stock based compensation.

On May 06, 2004, Genio Group, Inc. announced that it has secured a $3 million credit facility with IIG Capital LLC. The credit facility enables Genio to draw down against the line based on a percentage of its accounts receivable. Funds drawn down will be used for working capital purposes, sales & marketing and expansion of Genio's sales distribution network. As reported in April 2004, Genio has already received several purchase orders aggregating approximately $1.8 million to date for its new Mighty Beanza trading card game. Shipments to leading U.S. mass-market retailers have already begun on this product line.

On April 08, 2004, Genio Group, Inc. announced that it has received approximately $1.8 million in initial purchase orders from domestic mass-market retailers for its new collectible trading card game based on the popular children's collectible toy, Mightly Beanza. Genio expects to ship these initial orders later this month, during its fiscal third quarter ending June 30.

On April 02, 2004, Genio Group, Inc. announced that it has entered into an agreement with Noah's Children's L.L.C., whereby Noah's Children's has been granted the exclusive world-wide distribution rights to the travel retail industry for all of Genio CardsO collectible trading card product lines. The travel retail industry is a multi-billion dollar market opportunity, which includes all duty-free shops and all in-flight duty-free markets and programs. Genio expects to begin shipping products for both collectible trading card lines to Noah's Children's early in April 2004.

On March 29, 2004, Genio Group, Inc. announced that it has received initial purchase orders for the English language version of Genio CardsO to be distributed in New Zealand and Singapore. The two new markets represent the Company's initial penetration of the Pacific Rim territories and extend the international reach of Genio Cards to six foreign markets. Genio will ship products to New Zealand and Singapore later this month during its fiscal second quarter ending March 31.

On March 16, 2004, Genio Group, Inc. and Moose Enterprises Pty Ltd., an Australia-based toy company, announced that they have signed a license agreement granting Genio the exclusive worldwide distribution rights (outside North America), to produce and distribute a collectible trading card game series based on Moose's Mighty BeanzO characters.

On March 12, 2004, Genio Group, Inc. announced that it has received an initial purchase order of approximately $250,000 from Tomy UK Ltd. for an Italian language version of Genio CardsO. Tomy UK has designated an Italian distribution company to market the Italian language version in Italy. Genio expects to ship the new translation during its fiscal third quarter ending June 30. Genio continues to work on distribution into France for a French language version of Genio Cards.

On March 05, 2004, Genio Group, Inc. announced that it has received an initial purchase order of approximately $150,000 from Tomy UK Ltd. for a Spanish language version of Genio CardsO. Tomy UK has designated a distribution company in Spain to market the Spanish language version in that market. Genio expects to begin shipping the new translation of the product line later this month, and is already working on French and Italian versions of Genio Cards.

On February 19, 2004, Genio Group, Inc. reported results for the fiscal 2004 first quarter ended December 31, 2003. Genio Group reported net sales of $1.2 million and gross profit of $0.9 million for the first quarter ended December 31, 2003, Genio reported a net loss for the first quarter ended December 31, 2003 of $1.8 million, or $0.07 per basic share. The loss includes a non-cash charge of $1.2 million for costs associated with stock based compensation.

On February 03, 2004, Genio Group, Inc. and Spin Master, Ltd., a leading Canadian developer and North American distributor of Mighty Beanza, announced that they have signed a license agreement for the use of Mighty Beanz characters in a new Genio Cardsa series being launched in Spring 2004. Mighty Beanz are one of the most popular current children's collectable in North America.

On December 09, 2003, Genio Group, Inc. announced that early feedback from both retail outlets and consumers indicates that the Company's television ad campaign, launched in late November, is proving effective in generating increased awareness and demand for Genio Cards ?.

On December 08, 2003, Genio Group, Inc. announced that it has received subscription agreements for a $1.0 million private placement of 476,190 shares if its common stock at the price of $2.10 per share.
