From the inception of Mayfair Mining & Minerals, Inc., Dr. Michael Smith and I have mapped out a strategy to acquire mining projects which we could explore and if warranted, put into production in the short term. We intend to capitalize on Dr. Smith's vast experience of the African continent, acquired while working as a consultant with the European Union and the World Bank, to locate those projects which we believe could add value immediately, for the benefit of the shareholders. We have also put in place a corporate philosophy of diversification in an effort to reduce commodity and political risk by seeking mining projects of diverse metals, minerals and gemstones in different countries on the African continent. To date, we have successfully forged and financed a joint venture and established a mining company in Zambia. We are currently reviewing other relationships and projects in other countries. We are looking forward to the challenges of the coming year and will seek to grow rapidly from what we believe, is a strong foundation.

Executive Summary

Mayfair Mining & Minerals, Inc. (the "Company"), a Nevada corporation, has been listed on the Over-the-Counter Bulletin Board in the United States since August 2004. Since then, the Company's principals have obtained financing for the Company's proposed operations in Zambia, entered into a joint venture partnership there and formed a private Zambian operating company. The Company's principals have established good relationships with the Ministry of Mining in Zambia and the local community in the areas of our proposed mining activities. We have also engaged local employees for the Company which should assist in making the operations more secure and, as we project, help increase potential earnings through enhanced productivity.

The Company enjoys a balanced management and geological team with many years of experience in geology and public company financing. We are an emerging mineral exploration and development company in an early growth stage, seeking to provide an opportunity for investors to participate in diversified projects and planned future growth. The Company has attempted to create an attractive capital structure. Management has a strong commitment to work very diligently to create shareholder value through the planned acquisition and development of new gold and other precious metal and mineral deposits. We are completely focused on Africa, a continent with huge upside exploration potential and in many countries on the continent, increasingly friendly mining laws and regulations. We have a commitment and plan to limit exposure to any single metal price or country risk by seeking development of a broad portfolio of mining prospects in many countries, all within the Southern African Development Community (SADC). The management and Board of the Company enjoy what we believe are strong relationships with many mining industry executives and Government agencies across the SADC, providing many opportunities to review, joint venture, partner or acquire potential mining projects.

Current Operations

Mayfair's Gold Exploration Geological Strategy.

The Company's Zambian projects are located on a geological feature called the Mpande Dome. This lies between the Mwembeshi Shear Zone and the Mushika Machete Shear Zone. In the area of the Mpande Dome, the geology is dominated by the Basement Super Group (gneiss and quartzite overlain by meta - dolerite, tuff and meta - basalt), which, in turn, is overlain by the Katanga Super Group (schist, carbonate, quartzite and conglomerate).


Mayfair's Local Partners.

The Company has entered into a Joint Venture Agreement with two Zambian corporations owned by the Nyendwa Family of Kafue, Zambia. Pursuant to the Agreement, the Company incorporated a new Zambian joint venture company - Mayfair Mining & Minerals (Zambia) Limited. The Board of Directors of the joint venture company are Clive de Larrabeiti, Michael Smith, and Julie Nyendwa. The new Zambian joint venture company is owned 70% by Mayfair Mining & Minerals (UK) Limited and 30% by the Nyendwa Family. Mayfair Mining & Minerals (UK) Limited is a wholly-owned subsidiary of Mayfair Mining & Minerals, Inc. In return for their 30% shareholding, the Nyendwa Family is transferring into the Zambian joint venture company their licenses from the Zambian Government for three prospective mining projects which are the Funswe River, the Nansenga Stream and the Mapatizya Amethyst Concessions.
